Affiliate Terms of Use

AFFILIATE AGREEMENT

Delix Labs

This Affiliate Agreement (“Agreement”) is entered into as of the date of registration by and between Delix Labs and the Affiliate.

1. Purpose

The Company operates in the sale and distribution of peptide-related products. The Affiliate agrees to promote Company products and services in exchange for a commission on qualifying sales generated through their efforts.

2. Affiliate Responsibilities

The Affiliate agrees to:

  • Promote Delix Labs products in a lawful, ethical, and professional manner
  • Accurately represent the Company and its products
  • Use only approved marketing materials or materials that comply with Company guidelines
  • Not make false claims, medical claims (unless approved), or misleading statements

3. Commission Structure

  • The Affiliate shall receive 30% of revenue from all verified sales directly generated through their unique referral link, code, or tracking method

4. Tracking and Attribution

  • Sales will be tracked through a unique affiliate link, code, or system provided by the Company
  • Only sales properly attributed to the Affiliate through this system will qualify for commission
  • The Company is not responsible for tracking errors outside of its control

5. Payment Terms

  • Commissions will be paid on a monthly basis
  • While the Affiliate’s cumulative annual earnings are under $600, payments will be issued via Venmo or PayPal
  • Once the Affiliate’s cumulative annual earnings reach $600, all subsequent payments will be issued via bank transfer
  • No minimum payout threshold

6. Prohibited Activities

The Affiliate shall NOT:

  • Engage in spam, unsolicited messaging, or deceptive marketing
  • Use paid ads bidding on Company brand terms without permission
  • Misrepresent affiliation with Delix Labs
  • Violate any applicable laws or regulations

7. Compliance

Affiliate agrees to comply with all applicable laws, including but not limited to:

  • FTC disclosure guidelines (must clearly disclose affiliate relationship)
  • Advertising and consumer protection laws
  • Any regulations related to peptide marketing in their jurisdiction

8. Term and Termination

  • This Agreement begins on the Effective Date and continues until terminated
  • Either party may terminate at any time with written notice
  • The Company may terminate immediately for breach of this Agreement
  • Upon termination, unpaid valid commissions will be paid out within a reasonable timeframe

9. Independent Contractor Relationship

The Affiliate is an independent contractor and not an employee, partner, or agent of the Company.

10. Limitation of Liability

The Company shall not be liable for indirect, incidental, or consequential damages arising from this Agreement.

11. Modification

The Company may update this Agreement at any time. Continued participation constitutes acceptance of any revisions.

12. Confidentiality

Affiliate agrees not to disclose any confidential or proprietary information related to Delix Labs.

13. Governing Law

This Agreement shall be governed by the laws of the State of Mississippi.

14. Entire Agreement

This document constitutes the entire agreement between the parties and supersedes all prior agreements.
